1. Acceptance of Terms

By downloading, installing, or using prosence (“the App”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree to these Terms, do not use the App.

2. Description of Service

prosence is a real-time AI-powered conversation companion that listens to your meetings, conversations, and calls to provide contextual prompts, speaker identification, meeting summaries, and action item extraction. The App is available on iOS and Android.

3. Account Registration

You may create an account using Sign in with Apple, Google sign-in, or as an anonymous device user. You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account.

You agree to provide accurate information and to update it as necessary. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription Plans & Billing

prosence offers Free, Pro, and Premium subscription tiers with varying features and usage limits:

• Free — 15 coaching minutes in total, a one-time trial you can use across meetings
• Pro — Extended meeting duration (60 minutes) and features
• Premium — Maximum meeting duration (120 minutes) and full feature access

Subscriptions are managed through Apple App Store or Google Play Store via RevenueCat. Billing, renewals, and cancellations are governed by the respective store’s terms. You can manage or cancel your subscription at any time through your device’s subscription settings.

5. Acceptable Use

You agree not to:

• Use prosence to record or monitor conversations without the consent of all participants, where required by applicable law
• Use the App for any unlawful, harmful, or fraudulent purpose
• Attempt to circumvent usage limits, free trial restrictions, or security measures
• Reverse engineer, decompile, or disassemble the App
• Share, resell, or sublicense your account to others
• Transmit malicious code, spam, or interfere with the service
• Use the App in any manner that could damage, disable, or overburden our servers

6. Recording Consent & Legal Compliance

prosence captures and processes audio from your device’s microphone. You are solely responsible for:

• Obtaining consent from all participants before using prosence in any conversation, meeting, or call, as required by applicable local, state, national, or international laws
• Complying with all applicable wiretapping, eavesdropping, and recording consent laws in your jurisdiction
• Understanding that some jurisdictions require all-party consent for recording conversations

prosence is not responsible for your failure to obtain proper consent or comply with recording laws. Use of prosence does not constitute legal advice.

7. Voice Recognition & Speaker Data

prosence offers optional voice enrollment for speaker identification. By enrolling your voice:

• You consent to the creation and storage of a mathematical voice embedding derived from your audio samples
• You understand that voice embeddings are used solely for speaker identification within prosence and cannot reconstruct your voice
• You may delete your voice profile at any time from the Settings screen

If you enroll other speakers, you represent that you have obtained their consent to create and store their voice profile within prosence.

8. AI-Generated Content

prosence uses artificial intelligence (powered by OpenAI) to generate real-time prompts, meeting summaries, action items, and other content. You acknowledge that:

• AI-generated content may not always be accurate, complete, or appropriate
• You should not rely solely on AI-generated content for important decisions
• prosence is not a substitute for professional advice (legal, medical, financial, or otherwise)
• We do not guarantee the accuracy or suitability of AI-generated suggestions

9. Intellectual Property

The prosence App, including its design, code, features, and branding, is the intellectual property of prosence and is protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for personal purposes in accordance with these Terms.

You retain ownership of your meeting data, recordings, and any content you create or upload. By using the App, you grant us a limited license to process this data solely to provide the service.

10. Limitation of Liability

To the maximum extent permitted by law, prosence shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising from your use of or inability to use the App.

prosence is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components.

11. Indemnification

You agree to indemnify and hold harmless prosence, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from your use of the App, violation of these Terms, or infringement of any third-party rights.

12. Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise objectionable.

You may delete your account at any time through the app’s Settings screen, or by email as described in our Privacy Policy. Upon deletion, your personal data, meeting records, speaker profiles, and knowledge base entries will be permanently removed, except the limited device records our Privacy Policy describes, which are kept to prevent abuse of the free trial.

13. Modifications to Terms

We may revise these Terms at any time by posting the updated version in the App. Your continued use of prosence after changes are posted constitutes acceptance of the revised Terms. Material changes will be communicated through the App.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the App shall be resolved through binding arbitration or in the courts of competent jurisdiction.
